Welcome to Crezintec. These Terms of Service (“Terms”) govern your access to and use of crezintec.com (the “Website”) and all services provided by Crezintec, including but not limited to website design, search engine optimization (SEO), pay-per-click advertising, social media marketing, content creation, and any other digital marketing or web development services (collectively, the “Services”).
By accessing our Website or engaging our Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms included in project proposals, statements of work (SOW), or invoices. If you do not agree, you must not use our Website or Services.
1. Services & Scope of Work
1.1 All Services will be described in accordance with a written proposal, quote, or Statement of Work (“SOW”) signed or accepted by both parties. 1.2 Any changes to the scope must be agreed in writing and may result in additional fees and/or timeline adjustments. 1.3 Crezintec retains the right to refuse or discontinue Services at any time if the Client’s content, requests, or behavior violates these Terms or applicable law.
2. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information, content, login credentials, and feedback necessary for us to perform the Services.
- Obtain all necessary rights, licenses, and permissions for any materials (text, images, logos, videos, etc.) you supply to us.
- Review and approve deliverables within the timelines specified in the SOW. Delays in approval may delay project completion and final delivery.
3. Payment Terms
3.1 Fees are outlined in the applicable quote or SOW.
3.2 Unless otherwise stated, a non-refundable deposit of 50% is required before work begins. The remaining balance is due upon project completion or according to the agreed payment schedule.
3.3 Late payments incur interest at 1.5% per month (18% annually) on overdue amounts.
3.4 All fees are exclusive of taxes, which may be added where applicable.
3.5 No files, source code, or final deliverables will be released until full payment is received.
4. Ownership & Intellectual Property
4.1 Upon full and final payment, Crezintec grants you a non-exclusive, perpetual license to use the final deliverables for their intended purpose.
4.2 Crezintec retains ownership of all preliminary designs, concepts, source files, and tools developed during the project until full payment.
4.3 You warrant that any materials you provide do not infringe third-party intellectual property rights. You agree to indemnify Crezintec against any claims arising from such infringement.
5. Third-Party Platforms & Services
5.1 Many Services involve third-party platforms (Google Ads, Facebook, hosting providers, domain registrars, etc.). You are responsible for maintaining accounts in good standing any accounts, licenses, or subscriptions required.
5.2 Crezintec is not liable for changes in third-party terms, pricing, algorithms, or service availability that affect campaign performance or website functionality.
6. SEO & Marketing Results Disclaimer
6.1 Crezintec does not guarantee specific rankings, traffic volumes, leads, or sales. SEO and digital advertising results depend on many factors outside our control (search engine algorithm changes, competition, market conditions, etc.).
6.2 We provide professional services based on current best practices, but all marketing carries inherent risk and variable outcomes.
7. Revisions & Project Timelines
7.1 Each project includes a reasonable number of revisions as specified in the SOW. Additional revisions will be billed at our standard hourly rate. 7.2 Project timelines are estimates. Delays caused by the Client (late feedback, content, or payments) will automatically extend the delivery schedule.
8. Termination
8.1 Either party may terminate an ongoing project with written notice.
8.2 Upon termination, you must pay for all work completed up to the date of termination plus any non-cancellable third-party costs incurred.
8.3 Crezintec may terminate immediately if you breach these Terms, fail to make payment, or engage in unlawful or unethical activity.
9. Refunds & Cancellations
9.1 Deposits and progress payments are non-refundable. 9.2 Custom development, design, and marketing work is non-cancellable once started. 9.3 Subscription-based services (e.g., ongoing SEO or maintenance retainers) may be cancelled with 30 days’ written notice; no pro-rated refunds will be issued for the current billing cycle.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project. This obligation survives termination.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREZINTEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Crezintec, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.
13. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of [Your Jurisdiction – e.g., the State of California, United States], without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in [Your County/City].
